- Stockholders, Board and Committee Meetings - Lead the coordination with the respective finance groups of the assigned companies, for the setting up of stockholders, Board and various committee meetings.
- Prepare and draft all meeting documentation requirements for the assigned companies within the Ayala Group including, but not limited to, notices of meetings and agenda, Chairman’s brief, meeting materials/ Board kit, and minutes of the meetings based on recordings.
- Assist in and attend, as required or necessary, the assigned companies’ stockholders, Board and various committee meetings.

- Transactions with the Securities and Exchange Commission, the Housing and Land Use Regulatory Board, and other Government Agencies

- Prepare and draft all documentary requirements for the registration of companies with the Securities and Exchange Commission and Housing and Land Use Regulatory Board as well as for the amendment of assigned companies’ Articles of Incorporation, By-Laws, and equity restructuring.
- Prepare and draft reportorial requirements, request for endorsements, and letters for the assigned companies, as may be needed for submission to various government agencies.
- Liaise with various government agencies, as required or needed.

- Day-to-day Transactions/ Ordinary Course of Business

- Advise the assigned companies’ point persons, with the lawyer’s conformity, of the proper course of action in relation to corporate secretarial services as specified above, and other related matters.
- Prepare and draft secretary’s certificates, Board resolutions, memoranda, special power of attorneys, affidavits, and other related legal documents.
