Job Description:
Organizing and maintaining corporate records of client corporations. Preparing inventory of corporate records. Prepares General Information Sheet, and Secretary’s Certificate. Prepares and collates documents for submission to the different government agencies (e.i., Securities and Exchange Commission, Bureau of Internal Revenue, and Local Government Units). Assists in the preparation of incorporation documents for subsidiary, representative office, branch, RHQ and ROHQ registration. Draft correspondences and routine engagement documents such as affidavits, certifications, and etc. Assists in preparation of documents for the amendment articles, Incorporation and by-laws such as but not limited to:
Increase in the authorization capital stock. Change of Corporate Name Change of fiscal year and Change of Principal Office Address Handling requests and assignments relating to the foregoing. Prepare responses to audit request regarding corporate documents (i.e, completeness of minutes of meeting, list of stock holders, its stockholding and capital structure, issuance and cancellation of stock certifications). Perform other tasks related to the registration engagements. Minimum Qualifications:
Visa Processing, SEC Registration, Local Government Unit Coordination, BIR Registration and Amendments, Written Communication, Oral Communication, Customer Focus, MS Office
